1. Introduction
These Terms and Conditions (“Terms”) govern your use of the services provided by CM Pallet Services, a company registered in England and Wales (“we”, “us”, “our”, “Company”). By engaging our services, you (“Customer”, “you”, “your”) agree to be bound by these Terms.
2. Services
CM Pallet Services provides pallet manufacturing, repair, recycling, collection, and delivery services (“Services”). We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without prior notice.
3. Quotations and Orders
3.1 Quotations
All quotations are valid for 30 days from the date of issue unless otherwise specified. Quotations are subject to availability and may be withdrawn at any time before acceptance.
3.2 Orders
Orders become binding once we issue written confirmation of acceptance. We reserve the right to refuse any order without providing reasons.
3.3 Specifications
Customers must provide accurate specifications for all orders. Any changes to specifications after order confirmation may result in additional charges and delivery delays.
4. Pricing and Payment
4.1 Prices
All prices are quoted in British Pounds Sterling and are exclusive of VAT unless otherwise stated. Prices may be subject to change without notice for future orders.
4.2 Payment Terms
- Payment terms are strictly 30 days from invoice date unless otherwise agreed in writing
- Interest may be charged on overdue accounts at 8% above the Bank of England base rate
- We reserve the right to suspend services for accounts in arrears
- All collection costs and legal fees for debt recovery shall be borne by the Customer
4.3 Credit Accounts
Credit accounts are subject to satisfactory credit references and may be withdrawn at our discretion.
5. Delivery and Collection
5.1 Delivery
- Delivery dates are estimates and are not guaranteed
- We shall not be liable for any delays in delivery howsoever caused
- Risk passes to the Customer upon delivery or collection
- Customers must inspect goods upon delivery and report any damage or discrepancies within 24 hours
5.2 Collection Services
- Collection times are approximate and subject to operational requirements
- Customers must ensure pallets are accessible and properly segregated for collection
- We reserve the right to refuse collection of contaminated, damaged, or non-standard pallets
6. Quality and Standards
6.1 Manufacturing Standards
All pallets are manufactured to recognised industry standards. We warrant that new pallets will be free from material defects for 12 months from delivery.
6.2 Recycled Pallets
Recycled and refurbished pallets are sold on an “as seen” basis with no warranty beyond fitness for normal pallet use.
6.3 Contamination
Customers are responsible for ensuring pallets are not contaminated with hazardous substances. We reserve the right to refuse contaminated pallets and charge for safe disposal.
7. Liability and Insurance
7.1 Limitation of Liability
- Our liability for any claim is limited to the value of the specific goods or services in question
- We exclude liability for consequential, indirect, or special damages including loss of profits, business interruption, or loss of data
- Nothing in these Terms excludes liability for death or personal injury caused by negligence or fraud
7.2 Insurance
We maintain appropriate insurance cover but Customers are advised to maintain their own insurance for goods in transit and storage.
8. Health and Safety
8.1 Compliance
All parties must comply with relevant Health and Safety regulations including the Health and Safety at Work etc. Act 1974 and associated regulations.
8.2 Site Safety
Customers must ensure their premises are safe for our personnel and equipment. We reserve the right to refuse access to unsafe sites.
9. Environmental Compliance
We are committed to environmental responsibility and comply with all relevant waste management and environmental regulations including the Environmental Protection Act 1990 and Waste Framework Directive.
10. Data Protection
We process personal data in accordance with the General Data Protection Regulation (GDPR) and Data Protection Act 2018. Our Privacy Policy, available on request, details how we handle personal information.
11. Intellectual Property
All intellectual property rights in our processes, designs, and documentation remain our property. Customers may not reproduce or use our intellectual property without written consent.
12. Force Majeure
We shall not be liable for failure to perform our obligations due to circumstances beyond our reasonable control including but not limited to acts of God, governmental actions, war, terrorism, pandemic, strikes, or material shortages.
13. Termination
Either party may terminate ongoing service agreements by giving 30 days’ written notice. Termination does not affect rights and obligations that have already accrued.
14. Complaints Procedure
Complaints should be submitted in writing to our registered office within 7 days of the relevant event. We will investigate all complaints promptly and respond within 14 days.
15. Governing Law and Jurisdiction
These Terms are governed by English law and subject to the exclusive jurisdiction of the English courts. The parties submit to the jurisdiction of the courts of England and Wales.
16. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
17. Entire Agreement
These Terms constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements relating to the subject matter.
18. Amendments
These Terms may only be amended by written agreement signed by authorised representatives of both parties.
